Terms of use

The following terms and conditions (these "Terms") govern your use of service, website, solutions, products, and other software (collectively the "Ringostat" or "Services") made available by Netpeak LTD, a limited liability company, having its principal place of business 41 Devonshire Street, Ground Floor, London, United Kingdom, W1G 7AJ (hereinafter referred to "Company", "We" or "Us" (or otherwise as the context may require)).

These Terms apply to all visitors, users, and all others who access the Ringostat (referred to hereinafter as "You", "Customer" or "Users" (or otherwise as the context may require)). If you are an agent or employee of the intended user, you individually represent and warrant to Netpeak that you are authorized to bind that party to these Terms.

Please read these terms carefully. By accessing or using any services, you agree to be bound by these terms, as they may be modified or amended from time to time by netpeak at the: https://ringostat.com (the "Website") at its discretion. Any such amendments to these Terms become effective at the time they are posted to the Website, and each time you access or use Ringostat, you agree to be bound by these Terms as amended. If you do not agree, you should discontinue the use of the Ringostat immediately.

1. Your use of the Ringostat

1.1. You hereby confirm that (a) your details provided therein are true and accurate details in the registration form. (b) you will maintain the accuracy of such information; (c) you are at least eighteen (18) years of age and have the capacity and authority to enter into these Terms, and (d) your use of the Ringostat does not violate any applicable law or regulation.

1.2. Our Privacy Policy is incorporated herein by reference (https://ringostat.com/privacy-policy/). By using the Services or the Website, you consent to the use of your personal information including, but not limited to, email address for contacting you pursuant to our Privacy Policy.

1.3. You are solely responsible to keep all login IDs, passwords, and other means of access to the Services within your possession or control confidential and secure from unauthorized use. The company will not be liable for any losses caused by any unauthorized use of your User Account.

1.4. You agree not to use or permit the use of the Services directly or indirectly for any of the following:

1.4.1. Uploading or spreading computer viruses, worms, Trojan, malware, spyware, or other harmful code;

1.4.2. Infringing the intellectual property rights or misappropriation of trade secrets of any third party; or

1.4.3. Conducting any business or transaction in violation of applicable law, rules, or regulations.

1.5. You will not:

1.5.1. Rent, lease, loan, sell, resell, sublicense, distribute or otherwise transfer the licenses granted herein or any materials contained in the Ringostat;

1.5.2. Use the Ringostat for any illegal purpose, harmful manner, or in violation of any local, state, national, or international law, including, without limitation, laws governing intellectual property and other proprietary rights, and data protection and privacy;

1.5.3. Remove, circumvent, disable, damage, or otherwise interfere with security-related features of the Ringostat, features that prevent or restrict the use or copying of any content accessible through the Ringostat, or features that enforce limitations on the use of the Ringostat;

1.5.4. Reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Services, Website, or any part thereof;

1.5.5. Modify, adapt, translate or create derivative works based upon the Ringostat; or

1.5.6. Use the Ringostat in order to provide similar services to any third party or for competing with our Services;

1.5.7. Use Ringostat or content on any platform or website not provided and approved by us, make any misrepresentations or abuse Ringostat, or otherwise violate anyone's rights or any applicable laws.

1.6. Failure to abide by any of these rules may bring us to cancel your User Account and stop providing you Services.

1.7. We have the right to unilaterally refuse to use the Service without compensation or refund to anyone who supports aggression against Ukraine (including by paying taxes, fees, and other payments in favor of the aggressor country) or is related to the business of the aggressor country and other countries, supporting aggression against Ukraine.

2. Fees and payment

2.1. Company provides a 14-days free trial period use of Services. After the expiration of the trial period, We charge a fee to continue using the Services. Further payment and billing details can be found in the SAAS AGREEMENT, which is available and required to be accepted by you in advance of becoming an Account User.

3. Proprietary rights

3.1. The information and materials, including, without limitation, HTML, texts audio, music, videos, photos, graphic, messages, tags, interactive features, press releases, data sheets, product descriptions, software, code, scripts, data and FAQs and other content available on the Website (collectively, "Company's IP"), are the copyrighted works of Company, and Company expressly retains all right title and interest in and to the Company's IP, including, without limitation, all intellectual property rights.

3.2. Except as expressly permitted in these Terms of Use, any use of the Company's IP may violate copyright and/or other applicable laws.

3.3. User grants Company limited, non-exclusive, royalty-free right to use the User's trademarks, trade names, logos, and URLs of the User's Website, brief information about the User's professional activities, for:

- indication on the Website of the Company;
- publication in any cases (reports, publications, professional and other editions, social networks, media, and the Internet);
- publication in Company's promo materials;
- for other marketing purposes.

4. Third parties services and content

4.1. Ringostat may provide, or users may provide, links to World Wide Web sites or resources ("Third Party Material"). Because we have no control over such Third Party Material, you acknowledge and agree that we are not responsible for the availability of such Third Party Material, and do not endorse and are not responsible or liable for any Third Party Material, advertising, products, or other materials on or available from such Third Party Material.

4.2. If you access a Third Party Material from the Services, you do so at your own risk, and you understand that these Terms do not apply to your use of such Third Party Material. You expressly relieve us from any and all liability arising from your use of any Third Party Material.

4.3. All third party marks are the properties of their respective owners and may be used by you only in connection with permitted use of the Services and for no other purpose whatsoever.

5. Disclaimer of warranties and limitation of liability

5.1. WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THIS WEBSITE AND/OR SERVICES OR THE INFORMATION, CONTENT, MATERIALS, OR APPLICATIONS INCLUDED ON THE RINGOSTAT, AND YOU EXPRESSLY AGREE THAT YOUR USE OF THESE SERVICES IS AT YOUR SOLE RISK. WE DO NOT GUARANTEE THAT RINGOSTAT WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT IT WILL PROVIDE SPECIFIC RESULTS FROM THE USE OF RINGOSTAT OR ANY CONTENT, SEARCH OR LINK ON IT. RINGOSTAT AND THE CONTENT THEREIN ARE DELIVERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF RINGOSTAT, INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE AND CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES OR FOR LOST PROFITS, REVENUES, OR BUSINESS OPPORTUNITIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NO LICENSE TO THE USER IS IMPLIED IN THESE DISCLAIMERS. CERTAIN PROVINCIAL AND/OR STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.
